These Website Terms of Use ("Terms") govern Your access to and use of the websites, digital portals, and online resources operated by Netverse Ventures LLC, doing business as GreenLync ("Company," "we," "us," or "our"), including without limitation greenlync.ai and any other websites or digital properties that link to these Terms (collectively, the "Sites"). These Terms also apply to any access to or use of the Sites or their content, services, and tools by You, Your agents, and other representatives acting on Your behalf (collectively, "You" or "Your").
These Terms do not apply to Your access to or use of our proprietary software-as-a-service platform, including the GreenLync AI shopping assistant and related analytics dashboard (the "Platform"). Your subscription to and use of the Platform are governed by our Master Subscription Agreement, together with any information and data we collect in connection with Your use of the Platform.
By accessing or using the Sites or any content available on or through them, You represent to Netverse Ventures LLC that: (i) You are of legal age and capacity to form a binding contract in the jurisdiction in which You reside; (ii) You consent to entering into this agreement electronically, that these Terms may be maintained in electronic form, and that clicking any acceptance mechanism or continuing to use the Sites constitutes Your acceptance of these Terms with the same legal force as a handwritten signature; and (iii) if You are entering into these Terms on behalf of an entity, such as Your employer, You have the authority to bind that entity. If You do not agree with these Terms, do not use the Sites.
You are granted a limited, revocable, non-exclusive, non-transferable permission to access and use the Sites and their content solely for Your internal business evaluation and consideration purposes, and not for further distribution, publication, copying, operation as a service, or any other exploitation not expressly permitted under these Terms or any separate agreement between You and the Company. The Sites and all content available on or through them are owned or licensed by us and are protected under United States and international intellectual property laws. Except as expressly granted in these Terms, no rights or licenses to the Sites or their content are conferred. This permission extends to both publicly accessible portions of the Sites and those areas requiring account creation or security credentials.
Certain features, tools, or services on the Sites may require You to create an account as a prerequisite to access (for example, a customer dashboard, referral program portal, or demo environment). When You create such an account, You represent that the account is being created by You or by someone legally authorized to act on Your behalf. Your access to and use of any authenticated services and tools are: (i) subject to Your compliance with these Terms and any policies communicated to You; and (ii) limited to the period during which we have granted access, in our sole discretion or as provided in any applicable agreement covering such authenticated services or tools.
These Terms supplement and do not replace any other agreement between You and Netverse Ventures LLC relating to the Sites or any online services, including any software-as-a-service subscription. If there is a conflict between these Terms and another agreement governing Your use of the Sites or digital services and tools accessible on the Sites, the terms of that other agreement will control to the extent of the conflict.

You are prohibited from, and You agree to prevent Your personnel and representatives who use the Sites on Your behalf or for Your benefit from, using the Sites:
You are responsible for the login credentials created or provided to You in order to access authenticated services and tools on the Sites, including usernames and passwords. Netverse Ventures LLC will not be liable for any damages or losses arising from Your failure to maintain the confidentiality of Your login credentials. We reserve the right to refuse registration of, or cancel, any credentials we deem inappropriate, in which case we will notify You of such action. You are responsible for notifying us promptly at support@greenlync.ai if You become aware of any unauthorized use of or access to Your account.
The Sites may make available, or third parties may provide, links to other websites, applications, resources, advertisements, content, or other products or services created, hosted, or made available by third parties ("Third-Party Services"). When You access or use a Third-Party Service, You are interacting with the applicable third party, not with Netverse Ventures LLC, and You do so at Your own risk. We are not responsible for, and make no warranties, express or implied, as to any Third-Party Services or their providers, including without limitation the accuracy or completeness of the information provided by such Third-Party Services or the privacy practices of any third party.
The inclusion of any Third-Party Service or a link thereto on the Sites does not imply approval or endorsement of such Third-Party Service. Netverse Ventures LLC is not responsible or liable for the content or practices of any Third-Party Service, even if such Third-Party Service links to, or is linked from, the Sites. We encourage You to review any terms, conditions, and privacy policies of such third parties before using their services or disclosing Your personal information to them.
Netverse Ventures LLC reserves the right, but does not assume the obligation, to investigate any violation of these Terms or misuse of the Sites. We have the right, in our sole discretion, to edit, refuse to post, or remove any content posted, displayed, published, or made available for download or use on the Sites that we find to be in violation of these Terms. We may report any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties, and such reporting may include disclosing appropriate user information.
Netverse Ventures LLC reserves the right to terminate or suspend these Terms or Your access to the Sites (in whole or in part) at any time, with or without notice to You. Except as provided in any other agreement between You and us applicable to a Site, under no circumstances will the Company be liable to You or Your customers, employees, agents, representatives, or service providers if we suspend or terminate Your access to or use of the Sites. Without limiting the foregoing, the Company has the right to immediately terminate Your access to the Sites in the event of any conduct by You that the Company, in its sole discretion, considers to be unacceptable, or if You breach these Terms. All provisions of these Terms that by their nature should survive termination will survive, including, without limitation, ownership provisions, indemnification, disclaimers, and limitations of liability.
THE SITES AND ALL CONTENT AND OTHER ITEMS MADE AVAILABLE BY NETVERSE VENTURES LLC ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. THE COMPANY ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY: (i) ERRORS, MISTAKES, OR INACCURACIES OF DATA OR INFORMATION POSTED, DISPLAYED, PUBLISHED, OR MADE AVAILABLE ON OR THROUGH THE SITES; (ii) DAMAGES OF ANY NATURE WHATSOEVER RESULTING FROM YOUR USE OF THE SITES OR ANY CONTENT, SOFTWARE, OR OTHER MATERIALS DOWNLOADED FROM THE SITES; (iii) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITES; OR (iv) DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY NOT UNDER THE COMPANY'S REASONABLE CONTROL.
NETVERSE VENTURES LLC DOES NOT GUARANTEE THAT THE SITES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION. THE COMPANY WILL USE REASONABLE EFFORTS CONSISTENT WITH PREVAILING INDUSTRY STANDARDS TO MAINTAIN THE SITES IN A MANNER THAT MINIMIZES ERRORS AND INTERRUPTIONS. HOWEVER, THE SITES (OR COMPONENTS THEREOF) MAY BE TEMPORARILY UNAVAILABLE FOR SCHEDULED OR UNSCHEDULED MAINTENANCE, OR FOR OTHER CAUSES BEYOND THE COMPANY'S REASONABLE CONTROL.
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) WILL EITHER PARTY, OR THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, SUPPLIERS, OR LICENSORS, BE LIABLE TO THE OTHER PARTY OR ITS AFFILIATES FOR ANY LOST PROFITS, LOST SALES OR BUSINESS, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, COSTS OF COVER OR REPLACEMENT, OR FOR ANY TYPE OF INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE LOSS OR DAMAGES IN CONNECTION WITH THESE TERMS, REGARDLESS OF WHETHER SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY, NETVERSE VENTURES LLC'S AGGREGATE LIABILITY TO YOU ARISING OUT OF THESE TERMS WILL IN NO EVENT EXCEED ONE HUNDRED DOLLARS ($100.00 USD) PER EVENT OR OCCURRENCE GIVING RISE TO SUCH LIABILITY. THE FOREGOING LIMITATIONS WILL NOT APPLY TO CLAIMS OR DAMAGES ARISING FROM: (1) BODILY INJURY OF A PERSON; OR (2) FRAUD OR WILLFUL MISCONDUCT OF THE COMPANY.
You agree to defend, indemnify, and hold harmless Netverse Ventures LLC, its affiliates, and their respective employees, contractors, agents, officers, and directors from and against any and all claims, actions, demands, damages, obligations, losses, liabilities, costs, or expenses (including without limitation reasonable attorneys' fees) brought by or on behalf of a third party arising out of or relating to: (i) Your use of the Sites; (ii) Your breach of these Terms (including any policies referenced herein); (iii) Your violation of any applicable law; or (iv) any content and information that You post, disclose, or submit to the Company in connection with the use of the Sites, or that You otherwise transfer, process, use, or store in connection with the Sites.
Netverse Ventures LLC is entitled to rely upon the safe harbor provisions of the Digital Millennium Copyright Act (DMCA) available to certain service providers. Although it is our policy to respond to clear notices of alleged copyright infringement, we recommend that You submit a notice pursuant to the DMCA directly to the party that provided the content in question.

These Terms will be interpreted, construed, and enforced in all respects in accordance with the laws of the State of Delaware, without reference to its choice of law principles. Any legal action or proceeding arising under or relating to these Terms will be brought exclusively in the state or federal courts located in the State of Delaware, and the parties expressly consent to personal jurisdiction and venue in those courts.
Netverse Ventures LLC may modify or amend these Terms from time to time. If we make any material changes, as determined by us, we will notify You by posting the updated Terms on the Sites and updating the "Effective Date" above. If any changes are unacceptable to You, You should cease interacting with or using the Sites. Your continued use of the Sites following any modification constitutes Your acceptance of the updated Terms.
